OVERVIEW
This Terms and Conditions Agreement outlines the legally binding terms and conditions between you and Coreacts ("we," "us," or "our") governing your access to and use of our website (the "Site"), our courses, coaching sessions, community platform, and tools related to mental, physical, social, and financial wellbeing, as well as our affiliated websites, networks, mobile applications (the "Apps"), and services (collectively, the "Services"). The Supplementary Terms ("Supplemental Terms"), which shall be posted on the Services in connection with such features, may apply to certain aspects of the Services. All such Additional Terms are included into this Terms and Conditions document by reference (all such Supplemental Terms and this Terms and Conditions document collectively, the "Terms"). If the Supplementary Terms conflict with this Terms and Conditions document, they will take precedence only with regard to those features.
ACCESSING OR USING THE SERVICES, OR ANY PORTION THEREOF, INCLUDING THE SITE, CONFIRMS THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS. YOU CERTIFY AND REPRESENT THAT YOU ARE ELIGIBLE, AUTHORIZED, AND CAPACITATED TO AGREE TO THESE TERMS (ON BEHALF OF YOURSELF AND, AS APPLICABLE, THE ENTITY THAT YOU REPRESENT). IF A PERSON ENTERS INTO THESE TERMS ON BEHALF OF, OR IN THE COURSE OF ACTING AS AN AGENT, EMPLOYEE, OR REPRESENTATIVE OF, AN ENTITY, BOTH THAT PERSON AND THAT ENTITY ARE PARTIES TO THAT AGREEMENT: (i) AGREE THAT THE TERMS “YOU” AND “YOUR” AS USED HEREIN APPLY TO SUCH ENTITY AND, AS APPLICABLE, SUCH INDIVIDUAL; AND (ii) REPRESENT AND WARRANT THAT THE INDIVIDUAL ENTERING INTO THESE TERMS HAS THE POWER, RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THESE TERMS ON BEHALF OF SUCH ENTITY.
THE SERVICES OFFER USERS PERSONAL HEALTH COACHING SERVICES FOR YOUR MENTAL, PHYSICAL, SOCIAL, AND FINANCIAL WELL-BEING WITH THE GOAL OF ENHANCING YOUR GENERAL HEALTH. YOU UNDERSTAND AND AGREE THAT THE ANY INFORMATION YOU LEARN FROM THE SERVICES IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED, DESIGNED, OR IMPLIED TO: (I) DIAGNOSE, PREVENT, OR TREAT ANY CONDITION OR DISEASE; (II) TO ASCERTAIN THE STATE OF YOUR HEALTH, TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE; (III) TO BE A SUBSTITUTE FOR THE ADVICE OF A FINANCIAL ADVISOR, CERTIFIED NUTRITIONIST, OR MEDICAL PROFESSIONAL. IF YOU ARE NOT AT LEAST 15 YEARS OLD, YOU MAY NOT ACCESS OR USE THE SERVICES OR ACCEPT THESE TERMS. A PARENT OR LEGAL GUARDIAN MUST REVIEW THESE TERMS WITH USERS UNDER THE AGE OF EIGHTEEN (18) TO ENSURE THEY ACKNOWLEDGE AND AGREE TO THESE TERMS. USER MUST IMMEDIATELY UNINSTALL THIS APPLICATION OR VISIT THE WEBSITE AND DISCONTINUE ITS USE SHOULD USER'S PARENT OR LEGAL GUARDIAN NOT ACKNOWLEDGE AND AGREE TO THESE TERMS. YOU MAY NOT ACCESS OR USE THE SERVICES IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS.
YOUR SUBSCRIPTION WILL AUTOMATICALLY BE RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION AS THE INITIAL TERM AT COREACTS'S DISCRETION IF YOU SUBSCRIBE TO THE SERVICES FOR A TERM (THE "INITIAL TERM"). IF YOU DO NOT CHOOSE AUTO-RENEWAL OR DECLINE TO RENEW YOUR SUBSCRIPTION IN ACCORDANCE WITH THE DESCRIPTION BELOW, THEN-CURRENT FEE FOR SUCH SERVICES WILL APPLY.
UNLESS YOU OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS BY FOLLOWING THE OPT-OUT PROCEDURE SPECIFIED IN THE “ARBITRATION” SECTION BELOW, AND EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE “ARBITRATION” SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND COREACTS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
WITHOUT REGARD TO ANY PRINCIPLES THAT CALL FOR THE APPLICATION OF THE LAW OF ANY OTHER JURISDICTION, ANY DISPUTE, CLAIM, OR REQUEST FOR RELIEF RELATING IN ANY WAY TO YOUR USE OF THE SITE WILL BE GOVERNED AND INTERPRETED BY AND UNDER THE LAWS OF UNITED KINGDOM, CONSISTENT WITH THE LONDON COURT OF INTERNATIONAL ARBITRATION.
PLEASE NOTE THAT COREACTS RESERVES THE RIGHT TO MODIFY THE TERMS AT ANY TIME AND IN ITS SOLE DISCRETION. The Terms will be updated whenever modifications are made by Coreacts, and any new terms will be made accessible from within, or through, the impacted Service on the Site or within the App. The "Last Updated" date at the top of the Terms will also be updated. Any changes to the Terms will be effective immediately for new users of the Services and will be effective thirty (30) days after posting notice of such changes on the Site for existing users, provided that any material changes shall be effective for users who have an Account with us upon the earlier of thirty (30) days after posting notice of such changes on the Site or thirty (30) days after dispatch of an e-mail notice of such changes to users. Before continuing to use the Services, Coreacts may demand your consent to the amended Terms in a certain way. You must discontinue using the Services if you disagree with any change(s) after being informed of them. If not, using the Services in the future indicates that you agree to the change(s). PLEASE REGULARLY VISIT THE WEBSITE TO VIEW THE TERMS APPLICABLE AT THE TIME.
- Privacy Policy
The collection, use, and sharing of information that we process in the course of our business, including information we obtain through our Services and other online or offline offers, is covered in our Privacy Policy, which is available at https://www.coreacts.com/privacy-policy. We advise you to read and comprehend the Privacy Policy because it is incorporated into these Terms by reference.
- Registration and Your Information
You must create an account ("Account") in order to enjoy some features of the Services. You can access these resources through the app, the website, or your account with one or more third-party social networking services, such as Facebook or Google (each, a "SNS Account"). When possible, if you select the SNS Account option, we will create your Account by obtaining certain personal information from your SNS Account, such as your name and email address, as well as other personal information that your SNS Account privacy settings authorize us to access.
It's critical that you give us accurate, complete, and current information about your Account, and you agree to update that information as necessary to maintain it that way. If you don't, your Account may need to be suspended or closed. You pledge not to share the password to your Account with anybody and to let us know right once if your Account is used without your permission. Whether or not you are aware of any activity taking place under your Account, you are still liable for them.
In the event that you connect to the Services using a Social Networking Service (SNS) Account, you confirm that you have the right to disclose your SNS Account login information to Coreacts and grant us access to your SNS Account. This access is provided without violating any terms and conditions governing your use of the SNS Account and without imposing any fees or usage limitations on Coreacts. By granting Coreacts access to your SNS Account, you understand that we may access, retrieve, and store any information, data, data, text, software, music, sound, photographs, graphics, video, messages, tags and/or other materials (collectively referred to as "SNS Content") that you have provided and stored in your SNS Account. This allows us to make the SNS Content available through the Services via your Account. Unless stated otherwise, all SNS Content will be considered as "Your Content" as defined in the Terms. Depending on your SNS Account's privacy settings and the chosen SNS Accounts, any personally identifiable information you post to your SNS Accounts may be accessible through your Account on the Services. It's important to note that if an SNS Account becomes unavailable or if Coreacts's access to the SNS Account is terminated by the third-party service provider, the SNS Content will no longer be available through the Services. You have the option to disconnect your Account from your SNS Accounts at any time by accessing the "Settings" section on the Site. PLEASE BE AWARE THAT YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR SNS ACCOUNTS IS SOLELY GOVERNED BY YOUR AGREEMENTS WITH THEM. COREACTS DISCLAIMS ANY LIABILITY FOR PERSONALLY IDENTIFIABLE INFORMATION THAT MAY BE PROVIDED TO US BY SUCH THIRD-PARTY SERVICE PROVIDERS IN VIOLATION OF THE PRIVACY SETTINGS YOU HAVE SET ON YOUR SNS ACCOUNTS. Coreacts does not review SNS Content for accuracy, legality, or non-infringement, and we are not responsible for any SNS Content.
- Courses and Coaching
Users can select from a variety of options to participate in online courses, one-on-one or group coaching sessions (the “Courses and Coaching Services”) via the Services. These courses and coaching services offer guidance and information in a variety of areas, including but not restricted to healthy lifestyle factors such as, nutrition and hydration, sleep and relaxation, movement, stress management and relationships.
When you use the Courses and Coaching Services, you understand and acknowledge that you are in charge of arriving at the session by the designated start time and that any payments or purchases you make for a scheduled session that you miss or arrive late forfeit (and not be eligible for a refund). You additionally agree to act professionally and politely, to refrain from intimidating, belittling, or harassing those who provide the Courses and Coaching Services, and to otherwise act in a manner consistent with these Terms when engaging in Courses and Coaching Services. You understand and accept that your ability to access or utilize Courses and Coaching Services may be suspended if you do not act in line with the aforementioned.
You acknowledge and agree that Coreacts and its representatives, including any individuals who offer coaching services, are not medical professionals, nutritionists (unless expressly stated otherwise on the Services), psychologists, psychiatrists, psychotherapists, stockbrokers, financial advisors, fiduciaries or certified public accountants (CPAs). You acknowledge and accept that Coreacts does not conduct background checks to verify credentials for accreditation or licensure. You acknowledge and agree that the Coaching Services are provided solely for informational purposes and are not intended, designed, or implied to: (i) diagnose, prevent, or treat any condition or disease; (ii) determine the state of your health and to be a substitute for professional medical care; or (iii) to be a substitute for the advice of a financial advisor, certified nutritionist, or medical professional. No information offered as part of the coaching services is intended to substitute for professional medical advice, diagnosis or treatment. You recognize and acknowledge that your participation in any Coaching Services, including any decisions you make in reliance on the information acquired therefrom, is exclusively your responsibility. Always seek the counsel of your physician or another qualified healthcare provider if you need medical attention. Never disregard professional medical advice or delay medical treatment because of information obtained through the Services. Furthermore, nothing offered as part of the coaching services should be taken as investment, legal or tax advice. Not all of the activities listed on the Services or Goods, nor are all of the Courses and Coaching Services appropriate for everyone. Before starting any Courses or Coaching Services that involve any physical activity or exertion, you should consult with your physician to make sure you are medically fit to participate. You acknowledge that you participate in this exercise or exercise program at your own risk and that you hereby waive, release, and discharge Coreacts and those providing Coaching Services from any and all known or unknown claims or causes of action arising out of any injury sustained while participating in Coaching Services.
- Community Areas
Although Coreacts reserves the right, but is under no duty to mediate in such disputes, you are solely responsible for your communications and interactions with other users of the Services and any other parties with whom you come into contact. You acknowledge that any liability arising from such contacts is not the responsibility of Coreacts.
The Services can include User-provided Content. Such Content is not in the control of or under the responsibility of Coreacts. In addition to not approving, endorsing, or making any claims or warranties with regard to such Content, Coreacts has no obligation to review or monitor it.
On Coreacts social media platforms, such as but not limited to our community area, blogs, Facebook, Twitter, Instagram, and YouTube pages, we welcome and encourage open discussion. We look forward to any comments, stories, photographs, and experiences you wish to share. That said, we do make reasonable efforts to monitor participation to ensure that you stay on topic, are courteous, and avoid making offensive comments. Please be aware that if you publish something online, it's possible that thousands (or hundreds of thousands) of people will read it in the future, even if that time is years away.
The views and opinions expressed on Coreacts' social media platforms, such as but not limited to our blogs, Facebook, Twitter, Instagram, and YouTube pages, reflect those of specific bloggers and online communities and are not necessarily those of Coreacts, any of their respective employees, or the company's board of directors. The ideas and views expressed on these pages in no way represent those of the website on which they are posted, other websites linked to the website, the staff members responsible for maintaining the website, or any other visitors to the website.
Although Coreacts makes a good faith attempt to monitor and/or control content posted on its social media platforms, we are unable to always moderate all comments and can't guarantee a prompt response to online information requests. Any comments that Coreacts deems inappropriate may be reviewed, edited, or deleted at its sole discretion. The moderators reserve the right to delete or edit any comment, including but not limited to the following:
- Comments that are abusive or hurtful towards a blogger or another participant.
- Off-topic and repetitive comments, including promotions of events, groups, pages, websites, organizations, and programs that are not related to or affiliated with the organization.
- Comments that contain foul language or engage in "hate speech," such as racial, ethnic, or gender-based derogatory language.
- Personal attacks or defamatory statements against a participant, rather than constructive criticism of their post, opinion, or comments.
- All links to external websites found on Coreacts's social media sites are provided as a convenience to readers. However, the inclusion of these links does not imply endorsement by Coreacts, and we are not responsible for the content of these external websites.
By posting information on any of Coreacts' social media platforms, you understand and agree that this information is public and that Coreacts may use it for fundraising purposes and internal and external promotional activities. Please be aware that Community Servings has no control over how other participants may use the information you provide. Please refrain from posting if you do not want the information you have made accessible through this site to be utilized, published, copied, and/or reprinted. You acknowledge that Coreacts won't be held accountable for any liabilities arising from disputes between users of the Services.
You are responsible for your safety online and offline on any of Coreacts’s community spaces. Do not share personal information or data with any of the other community members, including phone numbers, email addresses, etc, and do not agree to meet in person. You are solely responsible for any loss or damage to your property, including but not limited to your computer system and any device you use to access the Services, resulting from accessing any Content that you access through (or download from) Coreacts.
- Content and Content Rights
Text, graphics, pictures, music, software, audio, video, works of any sort of authorship, information, or other materials that are posted, generated, provided, or otherwise made available through the Services are collectively referred to as "Content" for the purposes of these Terms. You represent and warrant that you have all necessary right, title, interest, authorizations, and permissions to: (i) upload, post, or otherwise make available ("Make Available") any materials you provide through the Services ("Your Content"); (ii) grant the rights, licenses, and permissions granted hereunder with respect to any data, content, information, or feedback, including Your Content; and (iii) access, and permit Coreacts to access on your behalf, any third party that is integrated with the Services.
You agree that the party from whom such Content originated is solely responsible for that Content, including any Content made available through the Services. This means that full responsibility for Your Content rests solely with you, and not with Coreacts, and that this responsibility extends to all Content that you and other users of the Services make available through the Services.
Coreacts maintains the following rights: (a) To remove or decline to post any of Your Content at our sole discretion, for any reason or no reason; (b) To take any necessary or appropriate action regarding Your Content in our sole discretion, including if we believe it violates these Terms, infringes intellectual property or other rights of any individual or entity, poses a threat to the personal safety of Services users or the public, or could result in liability for Coreacts; (c) To disclose your identity or other information about you to any third party making a claim that your posted material violates their rights, including intellectual property rights or right to privacy; (d) To pursue appropriate legal action, including but not limited to referring the matter to law enforcement, in response to any unauthorized or illegal use of the Services; and/or (e) To suspend or terminate your access to all or part of the Services, for any reason or no reason, including without limitation, for any violation of these Terms.
- Content Ownership
Except for Your Content, all rights, titles, and interests in and to the Services and Content, including all related intellectual property rights, are owned solely by Coreacts and its licensors. You acknowledge that the United States and other countries' copyright, trademark, and other laws protect the Services and Content. With the exception of Your Content, you agree not to delete, modify, or obscure any copyright, trademark, service mark, or other property rights notices included in or accompanying the Services or Content.
- Rights Granted by You
In the event that you participate in any Coaching Session or other event held by Coreacts either on the Services or on a third party service for which we notify that such Coaching Session or event is being recorded, you (i) acknowledge and agree that the Coaching Services or event, including video and audio of you, may be recorded by Coreacts and such recordings will constitute Content, (ii) consent to such recording, and (iii) grant to Coreacts a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable and transferable license to use, copy, modify, create derivative works based upon, distribute, publicly display, publicly perform and otherwise exploit any such recordings in connection with operating and providing the Services. You understand and agree that the standards set forth in Section 10 (Prohibitions) will also apply to your behavior on any third party service.
If you participate in a Coaching Session or other event organized by Coreacts, whether on the Services or a third-party platform, and if we notify you that the session or event will be recorded, the following terms apply: (i) You acknowledge and agree that Coreacts may record the Coaching Session or event, including video and audio footage of you. These recordings will be considered as Content, (ii) You provide consent to such recording, (iii) You grant Coreacts a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use, copy, modify, create derivative works, distribute, publicly display, publicly perform, and exploit these recordings in connection with the operation and provision of the Services. You understand and agree that the guidelines outlined in Section 10 (Prohibitions) also apply to your conduct on any third-party platform.
- Rights Granted by Coreacts
You are granted a limited, non-exclusive, non-transferable, non-sublicensable license by Coreacts to access and use the Services for your own personal use, as well as to download, view, copy, and display the Content on the Apps and website solely in connection with your permitted use of the Services and solely for non-commercial purposes. This license is contingent upon your compliance with these Terms.
- Rights and Terms for Apps
Coreacts has granted the App's rights. Coreacts hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download and install a copy of the App on a computer or mobile device that you own or control, and to run such copy of the App solely for your own personal and non-commercial purposes. This license is subject to your compliance with these Terms. Any rights in and to the App that are not expressly granted to you by these Terms are reserved by Coreacts. Apart for creating a reasonable number of copies for backup or archiving needs, you are not allowed to copy the App. Except as expressly permitted in these Terms, you may not: (i) copy, modify or create derivative works based on the App; (ii) distribute, transfer, sublicense, lease, lend or rent the App to any third party; (iii) reverse engineer, decompile or disassemble the App; or (iv) make the functionality of the App available to multiple users through any means.
If you obtained the App from an App Store, you are bound by the additional terms and conditions specific to that App Store. You agree to use the App in accordance with the "Usage Rules" outlined in the Store's Terms and Conditions.
If you accessed or downloaded the App from an App Provider, the following terms apply:
- These Terms are between you and Coreacts, not the App Provider. Coreacts is solely responsible for the App.
- The App Provider is not obligated to provide maintenance or support services for the App.
- If the App fails to conform to any applicable warranty, you can notify the App Provider, who may refund the purchase price of the App. However, the App Provider has no other warranty obligations.
- The App Provider is not responsible for addressing any claims by you or third parties regarding the App or your use of the App, including product liability claims, legal or regulatory compliance, and consumer protection claims.
- If there is a third-party claim that the App or your use of the App infringes their intellectual property rights, Coreacts is solely responsible for investigating, defending, settling, and resolving such claims.
- The App Provider and its subsidiaries are third-party beneficiaries of these Terms regarding your license of the App. By accepting these Terms, the App Provider has the right to enforce them against you as a third-party beneficiary.
- You are also required to comply with any applicable third-party terms and conditions while using the App.
- Prohibitions
By using the Services, you agree not to engage in the following activities:
- Posting, uploading, publishing, submitting, transmitting, or making available any Content that infringes upon third-party intellectual property rights, violates any applicable laws or regulations, or promotes fraudulent, deceptive, defamatory, obscene, offensive, discriminatory, or harmful content or activities.
- Using, displaying, mirroring, or framing the Services or any element within the Services, including Coreacts's name, trademarks, logos, or proprietary information, without prior written consent from Coreacts.
- Accessing or tampering with non-public areas of the Services, Coreacts's computer systems, or the technical systems of Coreacts's providers.
- Attempting to probe, scan, test the vulnerability of, or breach any security measures of Coreacts's systems or networks.
- Circumventing or attempting to circumvent any technological measures implemented to protect the Services.
- Using any unauthorized tools, agents, or mechanisms to access or search the Services or download Content, except those provided by Coreacts or generally available third-party web browsers.
- Sending unsolicited or unauthorized advertising, promotional materials, spam, or solicitation through the Services.
- Using Coreacts's trademarks, logos, URLs, or product names without express written consent.
- Using the Services for commercial purposes or in a manner not permitted by these Terms.
- Attempting to decipher, decompile, disassemble, or reverse engineer any software used to provide the Services.
- Interfering with the access of any user, host, or network, including sending viruses, overloading, flooding, spamming, or mail-bombing the Services.
- Collecting or storing personally identifiable information from other users without their express permission.
- Impersonating or misrepresenting your affiliation with any person or entity.
- Violating any applicable laws or regulations.
- Encouraging or enabling others to engage in any of the aforementioned activities.
While Coreacts is not obligated to monitor the Services or review user-generated Content, it reserves the right to do so in order to operate the Services, ensure compliance with these Terms, and adhere to legal requirements. Coreacts may remove or disable access to any Content, at its sole discretion and without notice, if it is deemed objectionable or in violation of these Terms. Coreacts also has the right to investigate violations of these Terms or any conduct that affects the Services and may cooperate with law enforcement authorities for legal prosecution.
- Links to Third Party Websites or Resources; Use of Third Party Services
Links to external websites or resources may be found inside the Services and Apps. We simply offer these links as a convenience, and we take no responsibility for the content, products or services found on or accessible through those websites, or for the resources or links that may be found there. You acknowledge entire responsibility for your use of any third-party websites or resources and that you do so at your own risk. Additionally, certain Courses and Coaching Services or events put on by Coreacts may be provided on a third party service. Any such third party services' performance is not our responsibility. You might be needed to sign up for an account with the supplier of those services or accept their terms. Any usage of such third-party services is governed by any agreements or terms you have with the service providers. You consent to abide by and act in accordance with the terms and conditions of these Terms at all times when utilizing such third party services in conjunction with our courses, coaching services, or events.
- Purchases and Fees
When using Coreacts' Services, you may have the option to purchase access to certain features on a time-limited basis, referred to as a "Subscription," or individual items, features, or services, such as Coaching Services, on a one-off basis, referred to as "Products." In order to complete a purchase (referred to as a "Transaction"), we may ask you to provide additional information related to the Transaction, such as your credit card number, credit card expiration date, and billing and delivery addresses. This information is referred to as "Payment Information." By initiating a Transaction through the Services, you represent and warrant that you have the legal right to use the payment method(s) associated with the provided Payment Information. The applicable fees and any taxes for a Transaction will be presented to you prior to placing your order. By proceeding with the Transaction, you authorize us to share your Payment Information with third-party service providers to facilitate the completion of your Transaction.
You agree to fulfill the following obligations: a) pay the applicable fees and any taxes associated with the Transaction, b) permit Coreacts to charge your credit card or third-party payment processing account (such as an account with an App Provider) for verification, pre-authorization, and payment purposes, and c) assume any additional charges imposed by your App Provider, bank, or other financial service provider, as well as any applicable taxes or fees related to your order. It's important to note that the specific terms and conditions of the Transaction may be subject to the policies of the respective App Provider or payment processing service.
A confirmation email will be sent to you after we have verified your order's payment. Unless Coreacts accepts and confirms your order as shown by a confirmation email, your order is not legally binding on Coreacts. Unless as expressly stated in these Conditions, all payments made are non-refundable, and subscriptions and products cannot be transferred.
If your credit card is declined, if we suspect the request or order is fraudulent, or in any other situations Coreacts considers appropriate in its sole discretion, Coreacts reserves the right to not process or to cancel your order. Additionally, Coreacts reserves the right, in its sole discretion, to take actions to confirm your identification in connection with your order as well as to confirm your relationship with your employer in cases where the employer makes the payments to Coreacts in your behalf. Before completing your Transaction, you might need to supply more information to confirm your identity (such information is included within the definition of Payment Information). For orders that we do not process or cancel, Coreacts will either not charge you or refund the charges.
- Payments; Subscription Autorenewal and Cancellation
For Purchases (one-time transactions), the amount is payable and charged at the time you place your order. For Subscriptions, the initial payment is charged at the beginning of the subscription period (referred to as the "Initial Subscription"). Subsequently, the subscription will automatically renew for a period equal to the expiring subscription term, and the payment for each renewal will be charged at the time of renewal until you cancel the subscription. The payment for renewals will be processed using the Payment Information you provided.
To avoid being billed for the next subscription period, you must cancel your subscription before it renews. If you purchased your subscription via the Coreacts website, you can cancel the renewal or delete your account by contacting us via email at [email protected]. If you purchased your subscription via an App Provider (such as the Apple App Store or Google Play), you can manage your subscription and cancel the renewal through your account with the respective App Provider.
Please note that if you cancel your subscription, you will not receive a refund for the fees already paid for the current subscription period, and your subscription will terminate at the end of the current subscription period.
- Changes to Price Terms for Subscriptions
Coreacts maintains the right to alter the terms of its subscription pricing at any time, and Coreacts is not required to give you notice before a change takes effect. Modifications to the pricing terms won't take effect in the past and won't apply to subscription renewals unless you've been informed of them. You can decide not to renew your Subscription in accordance with the provisions of the previous section if you do not agree with the modifications to Coreacts' pricing terms.
Coreacts does not provide any warranty or guarantee that the Services or Products will meet your specific requirements or be available without interruption, securely, or free from errors. The use of the Services and Products is at your own risk. Additionally, Coreacts does not provide any warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any Content available through the Services. The Content is provided for informational purposes only, and you should exercise your own judgment and discretion when relying on any information or content obtained through the Services.
- Employer Subscriptions
This Section applies to the extent that you are provided a Subscription through your employer or the employer of a third party (such Subscription, an “Employer Subscription”, the employer providing such Subscription, the “Employer”, and, to the extent you are receiving an Employer Subscription through a third party, such third party, the “Third Party Employee”). If you obtain an Employer Subscription, the Employer will notify you of registration requirements and eligibility requirements for Employer Subscription activation. If your employment with the Employer or, if applicable, the Third Party Employee's employment with the Employer ends and Coreacts is free to stop providing the Services, you might no longer be entitled to use the Services through the relevant Employer Subscription. All access to the subscribed portion of the Services may end immediately upon the termination of your employment unless you buy a subscription for such portions of the Service in your individual capacity. Additionally, anyone else who was previously authorized to access and use the Services through an Employer Subscription granted to them as a result of your employment with an Employer may no longer be eligible to do so. Your account may be converted to a personal Account in the event that your workplace subscription is terminated, at which point you, your family, and your friends may purchase individual Subscriptions apart from your employer. For subscriptions that are terminated before the term has ended, there will be no reimbursement of payments. Any additional subscriptions you have for your own use or the usage of friends and family that you access through your employee subscription will also expire when your employment does.
Rewards for challenges started through the Services may be provided by your company. Coreacts does not provide any incentives for using the Services and is not accountable for any incentives provided by employers. The employer may choose to provide and provide any of these benefits. Any failure on the part of an employer to offer rewards or any liability resulting from such awards will not be the responsibility of Coreacts.
- Future Functionality
You acknowledge that none of your purchases are based on the supply of any future functionality or features or on any statements Coreacts makes in public, whether verbally or in writing.
- Termination

We reserve the right to immediately and without prior warning terminate your access to and use of the Services, your Account, or these Terms.
- Termination by You
In accordance with these Terms, you can end these Terms by closing your Account and any active Subscriptions. By emailing us at [email protected], you can cancel your Account at any moment. Please be aware that closing your account will also end any linked Subscription(s). These Terms will still remain in full force and effect until the conclusion of the then-current Subscription period even if you cancel your Account. To stop your Subscription from renewing in the event that Coreacts or you terminate your Account, if you acquired a Subscription through an App Provider, you must cancel it through the App Provider.
- Effect of Termination
All provisions of these Terms that by their nature should endure will endure upon any termination, discontinuation, or cancellation of the Services, your Subscription, or your Account, including without limitation the ownership provisions, warranty disclaimers, liability limitations, and dispute resolution provisions.

YOU AGREE THAT FROM TIME TO TIME WE MAY TERMINATE THE SERVICE AT ANY TIME WITHOUT NOTIFICATION TO YOU OR REMOVE THE SERVICE FOR INDEFINITE PERIODS OF TIME. WE MAKE NO GUARANTEES AS TO THE ACCURACY OR RELIABILITY OF ANY RESULTS THAT MAY BE OBTAINED FROM USING THE SERVICE. WE GIVE NO ASSURANCE THAT THE PRODUCTS, SERVICES, OR CONTENT WILL MEET YOUR REQUIREMENTS.
YOU EXPRESSLY ACKNOWLEDGE THAT USING THE SERVICE—OR BEING UNABLE TO USE IT—IS AT YOUR OWN RISK. CONSEQUENTLY, COREACTS DISCLAIMS ALL LIABILITY FOR ANY INJURIES SUSTAINED OR DECISIONS MADE BY INDIVIDUALS PARTICIPATING IN THEIR COURSES AND COACHING SERVICES AS FURTHER DESCRIBED IN SECTION 3. - Indemnification
You consent to defend, hold harmless, and indemnify Coreacts and all of its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your violation of any of the Terms and Conditions or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
- Choice of Law, Jurisdiction
The laws of the United Kingdom apply to these Terms. For the purposes of any legal action arising out of or related to the use of the Application or these Terms, the User hereby expressly and unconditionally submits to the exclusive jurisdiction of the courts in the United Kingdom.
- Dispute Resolution
- Agreement to Arbitrate

According to the terms, any dispute, claim, or controversy arising from or relating to these Terms, the Services, Products, or Content will be resolved through binding arbitration, except in certain circumstances. However, the rest of the Terms will remain in effect.

Users who access or use the Services from other countries do so voluntarily and are in charge of adhering to local laws there.

- General Terms
These Terms supersede and replace any and all prior oral or written understandings or agreements between Coreacts and you on the Services, Products, and Content, and they constitute the entire and exclusive understanding and agreement between Coreacts and you regarding the Services, Products and Content. The other provisions of these Terms will still be in full force and effect if any provision of these Terms is found to be invalid or unenforceable (by a court with appropriate jurisdiction or by an arbitrator selected in accordance with the terms of the "Arbitration" section above, but only if you timely withdraw from arbitration by sending us an Arbitration Opt-out Notice in accordance with the terms stated above).
By operation of law or otherwise, you are not permitted to assign or transfer these Terms without Coreacts's prior written consent. These Terms will bind and benefit the parties, their permitted successors, and assigns, subject to the aforementioned.
You are responsible for complying with all applicable export laws and regulations, both in the U.K. and foreign jurisdictions. It is essential to ensure that the App, its associated technical data, and any direct products are not exported or re-exported in violation of these laws and regulations, or used for any prohibited purposes. By using the App, you confirm and guarantee that: (i) you are not situated in a country subject to a U.K. Government embargo or classified as a 'terrorist supporting' country by the U.K. Government, and (ii) your name does not appear on any U.K. Government list of prohibited or restricted parties.
Any notices or communications from Coreacts pertaining to these Terms, including any modifications, will be provided in one of the following ways: (i) via email from Coreacts, or (ii) by posting on the Services. For email notices, the date of receipt will be deemed as the date when the notice is transmitted.
Any right or term of these Terms that Coreacts chooses not to enforce will not be deemed waived in any way.
